The authors examine how Texas’s Business Court and recent governance reforms compare to Delaware’s legal framework for corporate matters, highlighting key structural differences and implications for business decisions.
Ultimately, the authors conclude, there is considerable excitement within Texas and nationally that the state’s corporate governance modernization efforts, combined with the establishment of the Texas Business Court, will help advance the state’s objectives to surpass Delaware.
