Peter represents plaintiffs and defendants in complex commercial litigation disputes throughout the country in the manufacturing, retail, tech, finance, and consumer products sectors. He advises on and litigates claims of breach of contract, fraud, tortious interference, and violations of the Computer Fraud and Abuse Act (CFAA), the Fair and Accurate Credit Transaction Act (FACTA), and various state consumer protection statutes. Peter has a national reputation for his extensive experience representing franchisors and manufacturers. Specifically, he has litigated against the US Department of Labor and Small Business Administration on behalf of a franchise system in separate cases involving employment misclassification and COVID-era loans to franchisees.

Representative Experience
- Lead trial counsel in federal court in Delaware defending national restaurant franchisor against claim of breach of the duty of good faith and fair dealing arising from failed negotiations for sale of client鈥檚 wholly owned subsidiary. The district court awarded judgment in favor of client, and the Court of Appeals for the Third Circuit affirmed the decision and remanded the case for an award and determination of the client鈥檚 attorneys鈥 fees totaling over $4 million. The case presented novel issues concerning whether a non-binding letter of intent may contain an implied duty of good faith and fair dealing.
- Lead defense counsel in federal court in Oklahoma against Department of Labor鈥檚 suit claiming misclassification of franchises as independent contractors instead of employees against commercial cleaning franchisor. At the time of filing of the original suit, the department had never before brought such claims against a franchisor. Client鈥檚 motion for summary judgment is currently pending before the trial court.
- Representation of German manufacturer of dairy farm equipment against claims for breach of warranty, products liability, and violations of state consumer protection statutes.
- Lead counsel in Texas state court action to appoint receiver over importer of foreign manufactured construction materials and prosecute claims of breach of contract, breach of fiduciary duty, and tortious interference.
- Lead counsel in Delaware Superior Court representing purchaser of aerospace parts manufacturer against seller for pre-closing fraudulent misrepresentations. Client defeated seller鈥檚 counterclaims at summary judgment and settled remainder of claims on favorable terms.
- Lead counsel in Texas state court action on behalf of franchisor of applied behavioral analysis and autism spectrum disorder therapy services against franchisee for breach of franchise agreement鈥檚 non-compete provisions. Lead counsel in federal court in Maryland representing provider of consulting and regulatory compliance services to financial institutions. Client prevailed on its claims of breach of contract at summary judgment and was awarded attorneys鈥 fees over two times the amount of actual damages.
